TitleThrive – Service Agreement

1. Overview

This Service Agreement (“Agreement”) is between TitleThrive LLC (“TitleThrive,” “we,” or “us”) and the subscribing customer (“Client” or “you”). This Agreement governs the design, launch, hosting, and ongoing management of your website under a subscription-based Website-as-a-Service model.

By submitting payment or activating services, you agree to the terms outlined below.

2. Service Structure

TitleThrive services are delivered in two distinct phases:

Phase 1: Initial Website Development & Launch

Phase 1 includes the one-time work required to design, configure, and launch your website. This phase typically includes:

  • Website setup using the TitleThrive platform
  • Design and layout based on approved direction or examples
  • Creation of agreed-upon core pages
  • Initial configuration of tools, forms, and calculators discussed prior to launch
  • Placement of content provided by Client
  • On-page SEO implementation for all pages
  • Pre-launch testing and deployment

Phase 1 scope is defined collaboratively prior to launch. Requests that materially change scope, structure, or complexity may require additional fees or revised timelines. Phase 1 concludes when the website is live and approved for use.

Phase 2: Ongoing Website Management (Subscription Service)

Following launch, services transition to ongoing management under a monthly subscription. This subscription includes:

  • Managed WordPress hosting
  • Core, theme, and plugin updates
  • Security monitoring and basic backups
  • Minor site upkeep and adjustments
  • Limited technical support
  • Continued access to the TitleThrive platform and tools

This service is intended to maintain and support the website, not to provide ongoing development, marketing, or content creation unless separately agreed.

3. Client Responsibilities

To ensure a smooth and timely launch, Client agrees to:

  • Provide requested content, images, logos, and information in a timely manner
  • Respond to questions and review requests within five (5) business days
  • Designate a primary contact authorized to provide feedback and approvals
  • Communicate any concerns or change requests promptly

Billing Start Date

Monthly subscription billing begins on your website launch date or thirty (30) days from setup fee payment, whichever comes first. This provides ample time to collaborate and launch the first version of your website at no additional charge.

4. Included Services

Post-launch changes that take five (5) minutes or less to complete are included at no additional cost. Examples include:

  • Minor text edits
  • Button or link updates
  • Image swaps
  • Contact information updates
  • Small layout adjustments within existing sections
  • Adjusting existing calculator defaults
  • Publishing content supplied by Client
  • Minor form label or field changes that do not alter structure

5. Services Not Included

The following services are not included in the subscription and require separate scoping or billing:

  • Creating new pages
  • Writing or rewriting content
  • Blog or FAQ content creation
  • Custom post types or structural changes
  • Ongoing SEO services, monitoring, or reporting
  • Keyword research or rank tracking
  • New page layouts or templates
  • Rebranding or visual redesigns
  • Major form or workflow changes
  • Integrations or automation beyond baseline setup
  • CRM, LOS, or API development
  • Compliance, legal, or regulatory review
  • Training, consulting, or operational advisory services

TitleThrive will always communicate and obtain approval before proceeding with out-of-scope work.

6. Support, Service Levels & Additional Work

Support Availability

Support is available during normal business hours, Monday through Friday, excluding holidays. While TitleThrive strives to respond to most requests the same business day, standard support response time is within two (2) business days. Response times refer to initial acknowledgment and review, not resolution.

Support Scope

Support is intended to assist with website functionality, maintenance, and minor updates as outlined in this Agreement. It does not include ongoing development, marketing, consulting, or strategic services unless separately agreed.

Out-of-Scope Work

Requests that fall outside the included services may be handled as additional work.

  • Out-of-scope work is billed at $125 per hour, unless otherwise quoted in writing.
  • TitleThrive will clearly communicate scope, estimated effort, and cost before any work begins.
  • No out-of-scope work will be performed without Client approval.

Many requests can be handled efficiently, and TitleThrive’s goal is always clarity and agreement before proceeding.

7. Subscription, Billing & Payment

Services are billed monthly in advance at the agreed rate, plus any applicable setup fee. Billing is processed automatically through our payment processor. All fees are non-refundable. Accounts unpaid for more than ten (10) days may have services paused until brought current. Pricing may be updated with at least thirty (30) days’ written notice via email.

8. Ownership & Intellectual Property

Client Ownership

Client retains ownership of all text, images, logos, and materials provided by Client.

TitleThrive Ownership

TitleThrive retains ownership of the TitleThrive platform, including website frameworks, themes, templates, code, and proprietary tools used to operate the site. During an active subscription, Client is granted a license to use the TitleThrive platform.

Upon cancellation:

  • Hosting and platform access are discontinued at the end of the current billing period
  • Client-provided text and images may be exported upon request within thirty (30) days
  • Platform components, design systems, and code remain the property of TitleThrive
  • Migration or buyout options may be offered separately at TitleThrive’s discretion

9. Client Content Responsibility

Client confirms they have the right to use all text, images, logos, and materials provided to TitleThrive. Client agrees to indemnify and hold TitleThrive harmless from any claims arising from Client-provided content.

10. Third-Party Tools & Integrations

Websites may integrate with third-party services. These services are governed by their own terms and availability. TitleThrive is not responsible for third-party outages, data handling, service changes, or limitations.

11. Data & Privacy

TitleThrive accesses Client information only as needed to deliver services. We do not sell or share Client data with third parties for marketing purposes. Upon cancellation, Client data is retained for up to sixty (60) days to allow for export requests, after which it may be deleted. Website visitor data collected through forms or tools is owned by Client and can be exported upon request.

12. Warranty Disclaimer

Services are provided “as is.” TitleThrive makes no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

13. Limitation of Liability

To the fullest extent permitted by law:

  • TitleThrive’s total liability for any claim is limited to the amount paid by Client in the one month preceding the event giving rise to the claim.
  • TitleThrive is not liable for indirect, incidental, or consequential damages, including lost profits or data.

14. Term & Cancellation

This Agreement begins upon initial payment and continues month-to-month. Either party may cancel with thirty (30) days’ written notice sent via email. Client cancellations should be sent to [email protected].

Upon cancellation:

  • Cancellation does not take effect immediately. Services continue through one final full monthly billing cycle after notice is given.
  • Hosting and platform access end at the close of that period
  • Client may request exports per the agreement
  • Outstanding balances remain payable

15. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Governing Law

This Agreement is governed by the laws of the State of Idaho. Any disputes shall be resolved in Kootenai County, Idaho.

17. Entire Agreement

This Agreement, together with any approved written scope or proposal, constitutes the entire agreement between the parties and supersedes prior communications.

Acceptance

By submitting payment or activating services, Client confirms acceptance of this Agreement.
